Limited Liability Partnership (LLP)

This is an alternative corporate business form that has the benefits of limited liability similar to that available to owners of a company and the flexibility of a partnership. A Limited Liability Partnership can be formed for any lawful for-profit business. Every Limited Liability Partnership shall use the words "Limited Liability Partnership" or its acronym "LLP" as the last words of its name.

Limited Liability Partnership is a separate legal entity altogether separate from the partners, and a partner is liable only to the extent of his agreed contribution and is not liable for any acts of other partners. The governance structure of a Limited Liability Partnership is flexible somewhat similar to any other partnership firm since they are governed by contractual agreement between parties. There is no upper limit on the number of partners an LLP can have, however, the designated partners are responsible for legal compliances.

Minimum requirements for formation of LLP are:

1) At least two partners (designated partners), either a natural person or any other legal entity, at least one should be resident in India

2) A registered office in India

What Is The Process?


  • Check availability of proposed name and select up to six names in order of preference
  • Once the proposed name is approved or is available, apply for LLP registration within 90 days of the name approval
  • Digital Signature Certificate (DSC) will be required for form submission; it is advisable to obtain DSC if one is not available
  • Designated Partner Identification Number (DPIN) is mandatory for all Partners; it is advisable to obtain DPIN if a designated partner does not have one

  • PAN Card and other address proof of Partners and Designated Partners
  • Identity and address proof such as Aadhaar Card, Passport, Voter Identity Card, Driving License, Ration Card etc.
  • Residential proof with less than 2 months old Bank Statement or any utility bill (Electricity, Telephone, Water etc) having the name of the person
  • Proof of registered office by way of landlord’s utility bill (less than two months old) or sale deed or rent agreement
  • For foreign national, Passport is mandatory, while any other government issued ID (residence or citizenship card or Driving license) and Bank Statement or any utility bill in the name of the person will be required as address and residential proof. English translation will be required in case the documents are not in English.
  • Passport size photographs (three) of each individual
  • LLP Agreement governing mutual rights and duties amongst Partners have to be submitted within 30 days of LLP Incorporation
